When is a company "carrying on business in Saskatchewan" Sometimes this is an easy question and sometimes it is not. Companies that carry on certain activities inside Saskatchewan are deemed to be carrying on business. These activities include holding an interest in land or having a resident agent or representative. If there is a telephone listing in a local phone book it will be presumed that business is carried on. However, these "deemed" activities are not the only ones that can require registration.
What are the implications if we do not register? Failure to register when required is an offense, but there may also be other consequences. For example, a company may not be able to bring or defend an action in Saskatchewan courts. Registration may also be necessary to bid on or work on certain contracts or to obtain certain licenses.
How do we register? In order to register, we will need copies of certain documents from the jurisdiction in which the company is incorporated. These are submitted to a local government department together with an application form, an appointment of a power of attorney (if necessary) and the applicable fees.
How quickly can we register? This largely depends on how quickly we can get the necessary documentation from you. Registration is effective from the date it is submitted but, in the normal course, it usually takes 2-3 weeks to get confirmation from the government that registration has been completed. However, if confirmation of registration is needed more quickly, the process can be significantly shortened (usually to 24 to 48 hours), by paying a special expediting fee to the government.
